Terms of Service

Please read these terms carefully before using Happentix. They govern your access to and use of our platform.

Important: Happentix is an informational discovery platform only. We do not sell tickets, process payments, or guarantee the accuracy of third-party event information. All event details should be verified directly with the organizer.

1. Acceptance of Terms

By accessing or using the Happentix website at happentix.com ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users, including visitors, registered users, and event creators.

2. Description of Service

Happentix is an informational lifestyle and entertainment discovery platform that aggregates, displays, and publishes information about events, activities, and experiences in cities around the world. We are strictly an informational service and do not:

  • Sell, resell, or process tickets or payments for any events
  • Guarantee the accuracy, completeness, or availability of any listed event
  • Act as an agent, representative, or guarantor for any event organizer
  • Assume responsibility for events listed by third-party creators

3. User Accounts

To access certain features of the Platform, you may register for an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized account use

You must be at least 16 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Your Content

You retain ownership of content you submit to Happentix (reviews, photos, event listings). By submitting content, you grant Happentix a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content on our Platform and in marketing materials.

4.2 Prohibited Content

You agree not to post content that:

  • Is false, misleading, or fraudulent
  • Infringes intellectual property rights of others
  • Is defamatory, harassing, or abusive toward individuals
  • Contains spam, unsolicited advertising, or malware
  • Promotes illegal activity
  • Violates any applicable law or regulation

5. Event Listings

Event creators who submit listings to Happentix confirm that:

  • All event information is accurate and up to date at time of submission
  • They have the legal right to promote the event
  • The event complies with all applicable local, national, and international laws
  • They will promptly update or remove listings for cancelled or modified events

Happentix reserves the right to remove any event listing that violates these Terms or our Community Guidelines, at our sole discretion and without notice.

6. Intellectual Property

The Happentix name, logo, website design, and original content (excluding user-submitted content) are the intellectual property of Happentix and protected by applicable copyright and trademark law. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HAPPENTIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE MAKE NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY EVENT INFORMATION LISTED ON THE PLATFORM.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPENTIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO RELIANCE ON EVENT INFORMATION, ATTENDANCE AT ANY EVENT, OR ANY TRANSACTIONS WITH EVENT ORGANIZERS.

9. Indemnification

You agree to indemnify and hold harmless Happentix, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your submitted content, or your violation of these Terms.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Links

The Platform may contain links to external websites. We are not responsible for the content, accuracy, or practices of third-party sites. Linking to any external resource does not imply endorsement.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date above and, where appropriate, by email to registered users. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.
